摘要企業併購不外乎追求綜效，以提升營運、財務、市場、管理等綜合效果，或是為擴張事業體進行多角化策略、組織整合、國際化發展、或是技術互補、資源重組甚而移轉經營權等，已成為企業面對產業快速發展，透過企業併購而達到轉型、擴張及商業模式改變的最佳策略之一。企業併購時，公司董事除依公司法第23條之規定應盡善良管理人之注意義務及忠實義務外，依企業併購法第5條第1項規定：「公司進行併購時，董事會應為公司之最大利益行之，並應以善良管理人之注意，處理併購事宜」。在企業併購過程中，獨立董事應如何協助公司尋求最適性發展，如何進行並取得允合的價值評估，如何平衡公司不同利害關係人之利益，以善盡其一般董事地位之注意及忠

實義務，以及我國法制另對於獨立董事令賦予重託之監督職責。觀諸近年關於企業併購中產生獨立董事的爭議案件，2016年樂陞收購案件、2016年光洋科爆發持續5年作假帳弊案、2019年福懋油經營權轉手、2020年大同公司變天等引發社會及法界對公司進行併購過程中獨立董事的職責、功能、責任範圍、獨立董事應具備何條件、獨董權限及獨董選舉等議題的討論，凸顯我國獨立董事制度在企業併購法制架構，及實務實踐的成熟度仍有進步空間。因此引起筆者關注，希望藉由比較美國獨立董事制度及法院裁判實務對於獨立董事責任的審查標準建立，例如商業判斷法則、整體公平原則進一步探討，釐清我國現行法規規範及實務運作之落差以探求現行併購制度及

司法實務之判斷原則發展是否能支持獨立董事實踐併購中業務決策及發揮控制監督的功能，並以獨立董事權責明確、法規建置完整性、公司法第23條內涵發展及符合獨立董事職責之責任限制與保障等面向之研究結果提供未來可能的修法參考。
