內線交易罪主體之研究

內線交易損害公司及股東之利益，也損害市場投資人對於市場之信心，妨害市場之健全發展，破壞市場運作之基礎，禁止內線交易是先進國家之共識。內線交易為在資訊不對稱、不平等之基礎上進行的證券交易行為。從事內線交易者，可能本身是發行有價證券公司之內部人，或經由內部人或其他不屬於內部人者傳遞內線消息而取得內線消息者。在特定情況下，經由輾轉傳遞之消息取得尚未公開且足以影響有價證券市場價值之公司內部機密資訊，再進行有價證券之交易，亦屬內線交易。以上各種從事內線交易之行為人，在刑事法上屬於內線交易罪之主體，本研究是環繞此一主題展開。禁止內線交易之基礎理論，有資訊取得平等理論（又稱健全市場理論，簡稱市場論）、信賴

關係理論、私取理論及消息傳遞責任理論（以上三者均屬於關係論）。目前美國採關係論。美國聯邦證券交易法將內線交易界定為一種詐欺行為，並以上述理論建立內線交易之成立要件，作為補充之規範。美國聯邦證管會所頒佈之行政命令及美國法院司法審判中對上述理論之判決先例，也值得我國借鑑。部分歐洲國家之內線交易規範和我國法同屬成文法，立法目的傾向市場論，且不受內線交易屬於詐欺之限制，故我國除了參考美國法，也可參考歐盟及其他歐洲國家之內線交易規範，作為解釋我國法時之重要依據。因此，本研究選擇歐盟及英國相關法制，擇要說明。證交法第157條之1第1項所規定之內線交易罪之構成要件中，針對內線交易主體之定義有欠明確，且涵蓋範
